Terms of Service
Understand our service and the rules for using it.
Effective: October 10, 2026
01Agreement and operator
These terms govern the company-search, name-check, nationwide-search, U.S. trademark and sanctions-list search, EIN-verification, paid-service, report and email delivery, annual-report estimate, knowledge-base, map and state-guide services of STATE.REPORT (state.report, the “Site”), a service owned and operated by ONE LLC (Ohio Entity Number: 5655041), Ohio, United States. By using the service, you agree to these terms. If you use it on behalf of an organization, you must have authority to do so. You must be at least 18 years old. Our Privacy Policy explains how we handle account and usage information.
02Email verification
Search access requires verification of an email address you control. A verification code confirms access to that mailbox; it does not establish your identity or authority to represent a company. Keep codes and account access private. Notify the contact address below if you suspect unauthorized use.
03Search allowances and paid services
State-specific company searches, name-availability checks, trademark searches and sanctions-list searches use the account’s free allowance. Nationwide searches are separately paid services and do not use that free allowance. Each verified account has an independent free search allowance for each 24-hour period, beginning with its first free search. The current allowance is displayed on the site and may change; changes do not erase usage already recorded in the current period. Unused free searches do not accumulate. Different users sharing an IP address, including through a VPN or shared network, do not have their account allowances combined; this does not permit one user to create or use multiple accounts to evade limits. Separately granted searches are used when the account's free searches are unavailable. The page shows available searches and the reset time. Request-frequency controls, browser verification and overall service-capacity limits may still apply.
EIN verification credits are separate from all other search allowances and never expire. They are available only through purchase or a manual administrator grant. Signing up or signing in does not earn EIN credits. Each completed new verification uses one credit, including results showing a match, a mismatch, an EIN not found, or validity not confirmed. Submitting and completing another verification uses another credit; there is no free-repeat period. One credit is reserved when you submit a request and released when the request is confirmed not to have completed. If a timeout, duplicate request or pending status leaves completion uncertain, the credit may remain reserved. Avoid repeated submissions and contact support@state.report for a review.
Each purchase is a one-time payment for EIN verification credits, not a subscription. The number of credits, currency and total price are shown before payment. Credits are added after payment is confirmed. Nationwide searches are purchased individually at the price and currency shown before payment, separately from EIN credits. Any granted nationwide searches are used as shown in your account. Duplicate payments, incorrect charges or failure to provide an agreed paid service may be submitted for review using the contact details below; the EIN package refund formula does not apply to nationwide searches.
03.1 Payments and refunds
EIN credits are non-refundable, including unused credits and package balances, except as stated below or required by law. They cannot be redeemed for cash. A completed verification is not refundable because of a match, a mismatch, dissatisfaction with the result, incorrect input or a change of mind.
If we approve an exception for personal reasons, used package credits are priced at the single-verification rate shown at purchase, without the package discount. Refund = package amount paid minus the cost of those used credits, with a minimum of zero and no additional charge. All remaining credits in that package are cancelled. This formula applies only to purchases made after the October 1, 2026 refund-terms update was published; earlier purchases keep their original refund terms.
This formula does not apply to duplicate payments, incorrect charges, our failure to deliver the paid service as agreed, or legally required refunds. We refund verified overcharges and handle undelivered services under applicable law. Corresponding credits are removed when refunded. Your non-waivable legal rights remain unchanged.
If you have a payment or service concern, we encourage you to contact us first so we can help resolve it. This does not limit your right to dispute a charge with your bank or payment provider or extend any applicable deadline. Contact support@state.report from your account email with your order or query reference. We will review the payment and service records. Approved refunds go to the original payment method where supported; arrival times depend on the payment provider.
04How searches are counted
Each new company-name search, entity-ID search or name-availability check uses one search from your allowance, including searches with no matching records. Browsing returned companies, changing pages or viewing information already retrieved does not use another search. If a separate lookup is needed for a company’s full details, we explain this before submission and use one search only after you confirm. An unsuccessful search may still count; your remaining allowance is shown on the page. You may request a review if you believe a search was counted incorrectly. Signing in, viewing history and invalid searches rejected before processing do not count. Returning the same recent result does not count again. The free repeat-view rules above do not apply to newly submitted EIN verifications.
Trademark searches, result lists and pagination do not consume your search allowance. Opening the full details of a trademark uses one search from the same account balance and reset cycle used for company searches. Viewing the same trademark from the same account does not use another search within the applicable repeat-view period, currently 10 minutes. The trademark is identified by its serial number, regardless of whether you searched by name, serial number or registration number. Any lookup that uses another search requires confirmation before the details are opened. Sanctions-list searches, result lists and pagination likewise do not use credits. Full details use one credit from the shared search allowance, with confirmation before charging; repeat views of the same record within the applicable free-repeat period do not use another credit.
05Records and limitations
Company information originates from public business-registration records maintained by U.S. state authorities. Coverage, available fields and processing times vary. Records may be incomplete, cached, delayed or unavailable. The displayed retrieval time is not a statement of when the registry last changed the record. Similar names may refer to different entities; compare the registration number, jurisdiction and other identifying details. No result is not proof that an entity does not exist. Registration status does not establish ownership, financial condition or trustworthiness. The service does not issue official certificates or provide legal, tax or investment advice. Verify material facts with the responsible registry before acting. ONE LLC is not a government agency and does not represent any registry.
Trademark information comes from public U.S. federal trademark application and registration records maintained by the United States Patent and Trademark Office (USPTO). Name searches do not assess phonetic or design similarity. Identical or similar names do not establish a conflict, and no matching result does not establish registrability. Consider the goods and services, trademark status and relevant rights. Names, addresses and goods and services retain their original wording. Some descriptions are translated; official records control if there is ambiguity.
05.1 Entity-ID searches
Select the state and enter the applicable registration identifier as instructed on the page. In some states, the identifier used for a lookup differs from the publicly displayed company number. For Texas, select the appropriate identifier type. Available records and their completeness vary by state; a lookup does not guarantee full details. This feature does not verify federal Employer Identification Numbers (EINs).
05.2 Name-availability checks
This feature provides a preliminary name check based on public company-name search results in the selected state. No matching records does not guarantee that a name can be registered: it may be reserved, restricted or not yet listed. Similar results do not, by themselves, establish that the name cannot be used. A search is not name approval, a reservation or a trademark clearance check, and does not submit a registration application. The registry’s review of an application determines whether the name is accepted.
05.3 Map and state guides
Our map and state guides provide general background on places, communities and industries. Figures, descriptions and linked sources may refer to different dates and may change. These editorial pages are not official government publications or legal, tax, financial or investment advice. Independently verify information relevant to your decisions. Links to external sources do not imply affiliation or endorsement, and their content and availability are outside our control.
05.4 EIN verification
Enter both the company’s English name as registered with the IRS and its 9-digit EIN. You must be authorized to submit these details. Results may show a name and EIN match, a mismatch, an EIN not found, or validity not confirmed. Invalid input, a request that cannot be processed, a duplicate request and an unfinished verification are processing states, not findings of a mismatch. A mismatch or an EIN not found does not, by itself, establish that the EIN is invalid. If you recently applied for an EIN, the record may not yet be available for verification; waiting does not guarantee that it will be found or matched. Matching follows upstream tax-name rules rather than a character-by-character check of the full legal name. A result is not an IRS certificate and does not verify identity, authority to act for the company, or the company’s compliance status.
05.5 Nationwide searches
Nationwide searches likewise provide name-search reference information. Identical or similar names do not establish entity identity. Overall completion does not guarantee a successful response from every state; unavailable state results are identified as such. Processing times are estimates; external sources or queues may cause delays. Pending orders do not receive a premature final report. Section 7 explains delivery and recovery of unfinished orders.
05.6 Sanctions-list searches
Sanctions-list searches use public OFAC records for screening reference. A name hit requires further review of identifying information; no hit does not establish freedom from sanctions restrictions or constitute transaction permission or compliance certification. Coverage is limited to the OFAC lists identified on the page, not a comprehensive review of every global sanctions, export-control or restricted-party list. A name hit alone does not establish identity.
05.7 Annual-report estimates and knowledge base
The knowledge base and annual-report estimates are also for reference. Estimates depend on the state, entity type, year and inputs; they do not file reports or guarantee coverage of all taxes, fees, obligations or exemptions. Verify applicable requirements with the responsible authority. Estimates do not submit filings or pay fees. Read knowledge-base material in light of its date and your circumstances, and check the responsible authority’s current requirements.
06Permitted use
Use the site’s search, verification, estimate and reference services lawfully. Do not circumvent verification, account or network limits; create or use multiple accounts to obtain additional access contrary to those limits; automate requests without permission; interfere with the service; or attempt to access another user’s information. Do not use the service to harass, impersonate or unlawfully discriminate. It is not offered as a consumer reporting service and must not be used to determine an individual’s eligibility for credit, employment, insurance, housing or a similar regulated purpose.
07Search history and exported reports
Your account provides access to your own query history for the preceding 30 days. Earlier query records may remain available to authorized administrators for service administration as described in the Privacy Policy. Account history provides access to recent searches, rather than a permanent report-download library. Exported reports and related export records are retained for 12 months from each export, with cleanup arrangements explained in the Privacy Policy. History is read-only and does not reopen results. Once a nationwide search is complete overall, a PDF is sent to your account email. It contains details of same-name companies only, without similar-company details. Government screenshots actually returned for those same-name companies are supplied separately in ZIP attachments, even if there is only one image; if none are available, only the PDF is sent. Large deliveries are split into clearly numbered emails. You may keep the attachments. The site does not provide a history entry or email link that reopens the completed results; starting a new search requires a separate payment or an available granted nationwide search, as shown on the page. The existing 24-hour recovery for unfinished orders continues to apply to the original order only, not a new search or reopening completed results. Nationwide delivery materials follow the separate retention rules in the Privacy Policy. Ensure your account mailbox can receive attachments. If a delivery or numbered part is missing, check spam and contact support@state.report with the order or query reference before placing another order. Reports, screenshots and estimates are not government-certified documents.
08Website materials and copyright
ONE LLC retains the rights it holds in original website text, design and software. This does not claim ownership of public records or material belonging to others. Use of external documents remains subject to applicable law and the rights of their source.
Rights in original text, selection and arrangement of content, design and other elements created for our map and state guides belong to ONE LLC or the respective rights holders, to the extent protected by applicable law. We do not claim exclusive rights in public facts, data, public-domain materials or third-party content.
Except as permitted by law or separately authorized, you may not reproduce, republish, adapt or distribute those protected elements. Third-party images, maps and other materials remain subject to their respective rights and licenses; these terms do not restrict uses granted by those licenses. Crediting this site or a reference source does not, by itself, grant permission to use protected material.
For copyright concerns, contact support@state.report with the page URL, the material concerned and the basis of your rights so we can investigate.
09Restrictions and availability
We may limit or suspend access where reasonably necessary to address abuse, security incidents, legal requirements or service capacity. You may request a review if you believe a restriction is in error. We may change or discontinue features and will give reasonable notice where practicable. A change to a paid offering will not impose a charge without your agreement.
10Disclaimers and Limitation of Liability
This site provides data lookup and verification services. External records may be delayed, inaccurate or incomplete. You should not rely solely on query results when making significant business, legal or tax decisions.
To the extent permitted by applicable law, the services are provided “as is” and “as available.” ONE LLC does not guarantee uninterrupted service or the accuracy, completeness or timeliness of external records, and disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the extent permitted by applicable law, ONE LLC is not liable for indirect, incidental, special, consequential or punitive damages arising from your use of, or inability to use, this site, including losses of profits, revenue, goodwill, business opportunities or data to the extent they fall within those categories, even if advised of their possibility. If ONE LLC is liable for claims arising out of or relating to this site or these Terms, its total aggregate liability will not exceed the greater of US$100 or the total service fees you paid to this site during the 12 months before the event giving rise to liability. This cap is not a fixed damages amount or a promise of minimum compensation.
These limitations do not apply to fraud, willful misconduct, gross negligence or liability that cannot lawfully be excluded or limited. They do not affect your mandatory consumer rights.
11Governing law, disputes and other terms
Ohio law governs these terms to the extent permitted by applicable law, without displacing mandatory protections available to you. Revised terms apply prospectively from their stated effective date. We will provide additional notice of material changes where required. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
To the extent permitted by applicable law, disputes arising out of or relating to the Site or these terms are subject to the exclusive jurisdiction of competent state courts located in Ohio, United States, or, where federal subject-matter jurisdiction exists, competent federal courts located in Ohio. Each party submits to those courts’ jurisdiction. This provision does not deprive you of a right under mandatory applicable law to bring proceedings in another court.
The Site provides English and Chinese versions and aims to keep them consistent. To the extent permitted by applicable law, the English version controls differences in interpretation; this does not diminish mandatory rights or legally required Chinese-language disclosures.
